This agreement binds you or the company you represent ("you," or "your") to the terms and conditions set forth herein in connection with your use of www.studyguider.com ("our", "we", "company" www.studyguider.com or "StudyGuider") software, services or other offerings on our site (collectively, our "products"). By using any of the company products or clicking on the "signup" button, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, click on the "cancel" button and do not use the company products. Company's acceptance is expressly conditioned upon your assent to all the terms and conditions of this agreement, to the exclusion of all other terms. If these terms and conditions are considered an offer by company, acceptance is expressly limited to these terms.
StudyGuider is an on-line tutoring marketplace where you can get homework help and online tutoring and tutors can get paid for their expertise There are two categories of persons using the Site: Visitors, who merely view the Site without posting any content and Purchasers (the people asking questions and purchasing (called Tutorials) posted on the Site, called "Query Transactions").
Potential Purchasers may use their PayPal or credit card to purchase the Tutorials.
Visitors, Purchasers and users will be collectively referred to as "you" or "your" in these Terms.
The services of our website can be availed by the individuals whose age is 18 or above along with the fact that their accounts should not be terminated by the StudyGuider. In case you are aged below 18 you need to verify the terms of use through your Guardian or Parents and need to agree with them. On the use of this site, it would be clear that: (a) information given by you are fair and correct; (b) necessary updating from time to time should be made so that StudyGuider may contact you as and when required; (c) use of the site and services should not breach applicable law or regulations; (d) your age should be 18 years or above; (e) compliance with the online rules and contribution to the site should be there as per Section 4.
The user would be accountable for the protection of his/her username and password. The person who uses the account would be authorized for all the activities of that account.
The trademarks, logos and service marks that are available on the site are solely owned by StudyGuider. Any download or Material copied for your use must be retained by you. By using the site you agree that you will not disable or alter any security related features of the site or that features that limits your enforcements. Further you need to make sure that you do not use the site other than through StudyGuider interface unless it is specifically mentioned in our agreement.
6.1. Site Management.
StudyGuider can but not required to (a) monitoring the site for the compliance or non-compliance of the StudyGuider‘s policies; (b) inform any violation of terms to the law enforcement authorities; (c) limit the access or it can remove any such contribution which violates the site terms and conditions; (d) use the site carefully so as to protect StudyGuider and other parties rights as well as allow the site to function properly. If you found guilty of any breach of the terms or engaged in fraudulent activities, StudyGuider has the right to terminate your account immediately and you will not be given any funds available to you.
6.2. Right to Terminate Users.
Exclusive of restraining any other condition of the defined terms and rules, StudyGuider beholds and coffers the right, in its solitary caution and diplomacy, and without any discern or accountability, to refute admission to and use of the site to any self who is in contravene of any depiction, contract or agreement restricted in these terms, or of any valid law or regulations.
The site laid full authority to terminate the account of any user who continuously found malfunctioning. If you found any copyright infringement, you may send a notice to the site.
The site has the right to change the terms and conditions of the use of the site anytime.
The pricing for each tutorial is posted on individual tutorial/contribution/digital product page and will be assessed in U.S. Dollars. Your account and all transactions are made and displayed in U.S. dollars.
All contributions or any other materials or items provided through the site are provided "as is" and "as available", without warranty or conditions of any kind. StudyGuider makes no warranties or representations about the accuracy or completeness of the site's content. StudyGuider assumes no liability or responsibility for any errors, mistakes or inaccuracies of content and materials.
Notwithstanding anything to the contrary contained in these terms, StudyGuider's liability to you in respect of any loss or damage suffered by you and arising out of or in connection with these terms, whether in contract, tort or for breach of statutory duty or in any other way shall not exceed the amount paid by you to StudyGuider.
You agree to indemnify and hold StudyGuider, our subsidiaries, affiliates, and licensors and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, Content or Materials in violation of these Terms and/or arising from a breach of these Terms and/or any breach of your representations and warranties set forth above. THIS SECTION SHALL SURVIVE ANY EXPIRATION OR TERMINATION OF YOUR RELATIONSHIP WITH StudyGuider.
Entire Agreement
These Terms constitute the entire agreement between StudyGuider and you regarding the use of the Site and supersedes any prior or contemporaneous understandings and agreements between you and StudyGuider related to the subject matter hereof.
Independent Contractors.
Nothing in these Terms shall be deemed to create an agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship of any kind between StudyGuider and any user.
No Third Party Beneficiaries
These Terms are between you and StudyGuider. There are no third-party beneficiaries to these Terms.
Section Titles
The section titles in these Terms are for convenience only and have no legal or contractual effect.
Non-Waiver
StudyGuider's failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
Severability
These Terms operate to the fullest extent permissible by law. If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
